Vendor Terms and Conditions – MiShop.in

1. Introduction

These Vendor Terms and Conditions govern the participation of sellers who register to offer products through MiShop.in, an online multi-vendor marketplace. By registering as a vendor or listing products on the platform, you agree to comply with these terms and all applicable laws in India.

2. Vendor Registration and Verification

Vendors must provide accurate, complete and up-to-date registration and business information. MiShop.in may request identity, business, bank account, tax registration or other documents where reasonably necessary for verification and legal compliance.

Vendors are responsible for maintaining the confidentiality of their account credentials and for activities conducted through their accounts.

3. Product Listings and Information

Vendors must ensure that all product listings contain accurate descriptions, prices, specifications, photographs and availability information.

Vendors must not upload misleading claims, counterfeit products, unauthorised branded goods or products prohibited by applicable law. Product images and other listing content must be used lawfully.

4. Pricing and Charges

Vendors are responsible for maintaining accurate product prices and stock information.

Any vendor subscription fees, marketplace commissions, transaction charges or other applicable fees will be governed by the vendor plan and charges disclosed by MiShop.in. Payment gateway fees, shipping charges, taxes and other third-party costs may apply where relevant.

Any offer stating that vendors can sell with no transaction fee applies only as expressly specified in the applicable vendor plan or written offer.

5. Orders and Fulfilment

Vendors must process accepted orders promptly, maintain adequate stock information and provide accurate fulfilment details.

Vendors must not cancel orders without a valid reason or engage in practices that mislead customers. Where applicable, vendors must provide invoices and fulfil other statutory obligations relating to their sales.

6. Shipping and Delivery

Vendors must comply with the shipping arrangements applicable to their products and orders. They must provide accurate dispatch information, package products appropriately and cooperate with delivery partners.

Delivery estimates may vary according to product availability, destination and courier services. Vendors must promptly communicate material fulfilment issues through the procedures provided by MiShop.in.

7. Returns, Exchanges and Refunds

Vendors must comply with the applicable MiShop.in returns, exchanges and refund policies and all mandatory consumer-protection requirements.

Vendors must cooperate in resolving complaints relating to damaged, defective, incorrect or undelivered products. No provision of these terms overrides rights that consumers have under applicable Indian law.

8. Payments and Settlements

Vendor settlements will be processed according to the applicable vendor plan, settlement schedule, payment arrangements and legal requirements.

Vendors must provide accurate bank and payment details. Any permitted deductions, refunds, chargebacks, disputed transactions or adjustments will be handled in accordance with the applicable terms and law.

9. Legal and Tax Compliance

Vendors are responsible for complying with applicable Indian laws, including relevant consumer-protection, taxation, GST, product-safety, intellectual-property and e-commerce requirements.

Where required, vendors must issue appropriate invoices, maintain records and provide valid tax or business information.

10. Prohibited Activities

Vendors must not:

• List illegal, counterfeit or prohibited products.
• Provide false or misleading product information.
• Manipulate reviews, ratings, orders or transactions.
• Misuse customer information or contact customers for unauthorised purposes.
• Infringe intellectual-property or other legal rights.
• Attempt to compromise the security or proper functioning of MiShop.in.

11. Customer Data and Privacy

Vendors may use customer information obtained through MiShop.in only for authorised purposes connected with fulfilling orders and providing permitted customer service.

Vendors must protect customer information, restrict access to authorised personnel and comply with applicable Indian data-protection and privacy requirements. Customer information must not be sold, misused or retained longer than permitted or necessary.

12. Suspension or Termination

MiShop.in may investigate suspected violations and take proportionate action permitted by its policies and applicable law. Depending on the circumstances, action may include requesting corrections, restricting listings, suspending vendor privileges or terminating vendor access.

Where appropriate and legally permissible, vendors will be informed of the issue and given an opportunity to respond.

13. Limitation of Responsibility

MiShop.in operates as a marketplace connecting buyers and vendors. Each vendor remains responsible for the accuracy and legality of its listings, product quality, fulfilment obligations and other responsibilities imposed by law.

Nothing in these terms excludes or limits any liability or consumer right that cannot legally be excluded or limited.

14. Amendments

MiShop.in may update these terms from time to time to reflect changes in its services, vendor plans or applicable legal requirements. Material changes will be communicated through appropriate channels where required.

15. Governing Law and Disputes

These terms are governed by the laws of India, subject to applicable mandatory legal provisions and jurisdictional rules. Disputes will be handled by the competent courts or authorities as determined under applicable law.
